These Terms of Service (“Terms”) govern your access to and use of the website located at seomedicalclinic.com (the “Site”) and the services provided by SEO Medical Clinic (“we,” “us,” “our,” or “the Agency”). By accessing the Site or engaging our services, you (“you,” “your,” or “Client”) agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.
1. Overview of Services
SEO Medical Clinic provides local search engine optimization (“SEO”) and related digital marketing services to dental, orthodontic, and other healthcare practices (“Services”). Services may include, but are not limited to: Google Business Profile optimization, local citation building, website content strategy, technical SEO, reputation and review management, and related reporting.
The specific scope, deliverables, timeline, and pricing for Services provided to a Client will be defined in a separate written agreement, proposal, or order form (“Service Agreement”). In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement will govern with respect to that specific engagement.
2. Eligibility
By using the Site or engaging our Services, you represent that you are at least 18 years of age and have the legal authority to bind the business or practice on whose behalf you are acting.
3. No Guarantee of Results
SEO Medical Clinic does not guarantee specific search engine rankings, traffic levels, lead volume, patient inquiries, or revenue outcomes. Search engines (including Google and Bing) control their own ranking algorithms, which change frequently and are outside our control. We will use commercially reasonable, industry-standard methods to pursue agreed-upon SEO objectives, but outcomes depend on numerous factors beyond our control, including competition, market conditions, and platform policy changes.
Any performance statistics, case studies, or client results referenced on the Site reflect the specific experience of an individual client and are not a guarantee of similar results for any other business. See our Disclaimer for additional details.
4. Client Responsibilities
To deliver Services effectively, we may require timely cooperation from the Client, including but not limited to:
Providing access to relevant accounts (e.g., Google Business Profile, Google Analytics, Google Search Console, website CMS, hosting)
Providing timely feedback, approvals, and content (such as photos, credentials, or service descriptions)
Ensuring the Client’s own website, intake forms, and data practices comply with applicable laws, including HIPAA where relevant
Delays in providing required access, feedback, or materials may result in corresponding delays to Service delivery timelines, for which the Agency is not responsible.
5. Payment Terms
Fees, billing frequency, and payment terms for Services will be set out in the applicable Service Agreement or invoice. Unless otherwise agreed in writing:
Invoices are due upon receipt or per the schedule stated in the Service Agreement
Late payments may result in suspension of Services until the account is brought current
All fees are non-refundable once work has commenced, except as otherwise expressly stated in a Service Agreement
6. Intellectual Property
Upon full payment for Services rendered, the Client will own the specific content, on-page changes, and deliverables created exclusively for the Client’s website as part of the engagement (e.g., written page content, optimized metadata).
SEO Medical Clinic retains ownership of its own proprietary processes, methodologies, internal tools, templates, and any pre-existing materials used in delivering Services. Nothing in these Terms transfers ownership of our internal systems, software, or general know-how to any Client.
7. Term and Termination
Unless otherwise specified in a Service Agreement, Services are provided on an ongoing, retainer, or project basis as agreed between the parties. Either party may terminate an ongoing engagement by providing written notice in accordance with the notice period specified in the applicable Service Agreement.
Upon termination, the Client remains responsible for payment of all fees incurred for work performed up to the effective date of termination. SEO Medical Clinic is not obligated to maintain, restore, or revert any optimization, content, or technical changes made to the Client’s website or third-party listings prior to termination.
8. Confidentiality
Both parties agree to keep confidential any non-public business, strategic, financial, or technical information disclosed by the other party during the course of the engagement, and not to disclose such information to third parties without prior written consent, except as required by law.
9. Third-Party Platforms
Our Services may involve work performed on or in connection with third-party platforms we do not own or control (e.g., Google, Bing, Yelp, Healthgrades, Zocdoc). We are not responsible for outages, policy changes, account suspensions, or de-indexing actions taken by such third-party platforms, regardless of cause.
10. Limitation of Liability
To the fullest extent permitted by applicable law, SEO Medical Clinic’s total liability arising out of or related to these Terms or our Services shall not exceed the total fees paid by the Client to the Agency in the three (3) months preceding the event giving rise to the claim. In no event shall the Agency be liable for indirect, incidental, consequential, special, or punitive damages, including loss of revenue, data, or business opportunity.
11. Indemnification
You agree to indemnify and hold SEO Medical Clinic harmless from any claims, damages, liabilities, or expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your violation of applicable law, or content or information you provide to us for use in your marketing materials.
12. HIPAA & Compliance
SEO Medical Clinic is not a Covered Entity or Business Associate under HIPAA in the ordinary course of providing Services, unless a separate Business Associate Agreement has been executed for a specific engagement. Clients remain solely responsible for ensuring their own website, intake processes, and use of third-party platforms comply with HIPAA and other applicable privacy and healthcare advertising regulations. 13. Disclaimers
The Site and its content are provided “as is” without warranties of any kind, express or implied. Content on the Site, including blog posts and service pages, is for general informational and marketing purposes only and does not constitute medical, legal, or financial advice. 14. Governing Law
These Terms shall be governed by the laws of [Insert Governing Jurisdiction], without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the courts located in [Insert Jurisdiction], unless otherwise specified in a Service Agreement.
